Join us on Thursday, July 21st for our next Aerospace and Defense (A&D) luncheon on “Avoiding International Antitrust Concerns in the Defense Industry.”  In September 2015, the U.S. Department of Defense (DOD) issued a statement signaling its intent to work with Congress on new legislation to “preserve the diversity and spirit of innovation that have been central to the health and strength of our  unique, strategic defense industrial base, particularly at the prime contractor level.”  On April 12, 2016, seemingly in response, the U.S. Department of Justice (DOJ) and Federal Trade Commission (FTC) issued a joint statement setting forth their commitment to preserving competition and closely reviewing mergers and acquisitions in the defense industry on a case-by-case basis under existing antitrust laws.  The DOJ/FTC statement noted the DOD’s key role in reviewing proposed mergers and acquisitions in the defense sector and their ability under existing antitrust policy to take DOD’s concerns into consideration.

At the upcoming luncheon, two Baker & McKenzie antitrust experts, Mark Hamer and Lee Van Voorhis, will discuss antitrust enforcement risks in the defense industry, including the implications of the recent DOJ/FTC joint statement for defense companies and steps that they should take in connection with defense-related mergers and acquisitions to avoid or mitigate antitrust concerns.
