In an article published for Law360, Jon Tuck, Richard Cook, and Megan Clarkson Bowly discuss the implications of the Supreme Court’s decision in Mercer v. Alternative Futures Group, considering whether workers participating in industrial action are protected from action short of dismissal under the Trade Unions and Labour Relations (Consolidation) Act 1992.

The Takeover Panel has published a revised version of Practice Statement 31 dealing with the application of various rules in the context of a private sale process (PSP) run by a target company or major shareholder (as well as in the context of a formal sale process or strategic review, as were previously covered). The Panel has recognized that there are circumstances where a target company is reluctant to pursue a formal sale process and that where it instead pursues a PSP, some of the dispensations applicable to a formal sales process should apply in a similar way. The amended practice statement is available on the Panel’s website and has immediate effect.

On 10 April 2024, the European Parliament, in a plenary session, approved new proposals for a directive and regulation on medicinal products for human use. The two texts will now have to be approved by the European Council. These proposals aim at ensuring safer, more efficient, and high-quality medicines for EU citizens, at promoting innovation and development of medicines to address unmet medical needs, and at strengthening the research on new medicines to tackle antimicrobial resistance.

On 18 April 2024, the State and Regions’ Conference approved the Agreement proposed by the Ministry of Health for the implementation of an active pharmacovigilance program.
The Agreement will be implemented by signing conventions between the Italian Medicine Agency (AIFA) and single Regions, through which the Pharmacovigilance Funds, relating to the years 2018, 2019, 2020, 2021 and 2022, will be disbursed, for an overall total of EUR 58.5 million.

The Constitutional Court has set the public hearing for 22 May 2024, to discuss the legitimacy of the payback regulation for medical devices. Hundreds of manufacturers of medical devices are awaiting the Constitutional Court’s decision, since, should the Court confirm the legitimacy of the legislation in question, they will be required to pay EUR 1.1 billion on account of the expenditure overruns for the four-year period 2015-2018, in addition to the payback due for the following years.

On 1 January 2022, the CFC rules became effective in Ukraine. For the novelty of the concept and the imperfections of the underlying legislation, many provisions of the applicable CFC rules call for clarification, elaboration, or further guidance.
In this context, on 2 May 2023, the Parliament of Ukraine passed – in the first (of typically two) readings – Bill No. 8137 “On Amendments to the Tax Code of Ukraine with respect to Enhancement of the Taxation of Controlled Foreign Companies” (“Amending Bill”), aimed at addressing most pressing issues pertaining to the application and interpretation of the CFC rules.
